These Terms of Service (“Terms”) govern access to and use of the TapDeer.me platform, website, applications, software, tools, and services (collectively, the “Platform”) operated by TapDeer Inc. (“Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Platform Overview

The Platform enables registered users (“Members”) to create customized webpages and AI-powered chatbot experiences using templates, content, data, prompts, documents, media, and other information voluntarily submitted by Members.

Visitors, customers, followers, fans, and other third parties (“End Users”) may interact with AI chatbots created by Members.

The Company provides infrastructure and hosting services only and does not create, control, supervise, endorse, review, verify, or guarantee:

  • chatbot responses;
  • Member-provided content or data;
  • factual accuracy of chatbot outputs;
  • legal compliance of Member content;
  • reliability, safety, legality, or suitability of any AI-generated information.

2. Eligibility

You must be at least the age of majority in your jurisdiction to use the Platform.

By using the Platform, you represent and warrant that:

  • you have the legal authority to enter into these Terms;
  • all information you provide is accurate and lawful;
  • your use of the Platform complies with all applicable laws and regulations.

3. Member Accounts

Members are responsible for:

  • maintaining the confidentiality of login credentials;
  • all activities occurring under their accounts;
  • ensuring that uploaded information is lawful and authorized;
  • immediately notifying the Company of unauthorized access or security incidents.

The Company may suspend or terminate accounts at its sole discretion where necessary to:

  • comply with laws or regulations;
  • protect the Platform or users;
  • investigate misuse;
  • reduce legal, operational, reputational, or security risks.

4. AI Services Disclaimer

4.1 AI-Generated Content

The Platform uses artificial intelligence and machine learning technologies that may generate inaccurate, incomplete, misleading, offensive, biased, outdated, or inappropriate content.

AI-generated responses are automated outputs generated probabilistically and may contain errors or hallucinations.

The Company does not guarantee the accuracy, reliability, legality, quality, or appropriateness of any chatbot output.

4.2 No Professional Advice

AI chatbot responses are provided for informational and entertainment purposes only and do not constitute:

  • legal advice;
  • medical advice;
  • financial advice;
  • psychological advice;
  • tax advice;
  • investment advice;
  • professional consulting;
  • emergency services.

Users must independently verify all information before relying on it.

4.3 No Liability for Reliance

To the fullest extent permitted by law, the Company shall not be liable for:

  • decisions made based on chatbot responses;
  • misinformation or inaccuracies;
  • omitted information;
  • harmful or offensive outputs;
  • business losses;
  • reputational harm;
  • emotional distress;
  • financial losses;
  • personal injury;
  • indirect or consequential damages arising from AI-generated content.

Users assume all risks associated with use of AI-generated outputs.

4.4 No Monitoring Obligation

The Company has no obligation to monitor, moderate, validate, review, or supervise:

  • chatbot conversations;
  • Member-provided training data;
  • chatbot outputs;
  • user interactions.

The Company may, but is not required to, review or remove content at its discretion.

5. Member Content and Data

5.1 Ownership

Members retain ownership of content, documents, prompts, branding, data, media, and other materials uploaded to the Platform (“Member Content”).

5.2 License to Company

Members grant the Company a worldwide, non-exclusive, royalty-free license to:

  • host;
  • store;
  • reproduce;
  • process;
  • transmit;
  • display;
  • format;
  • use;
  • modify solely as technically necessary;
  • create AI embeddings, indexes, vectors, or processing artifacts;

for the purpose of operating, securing, improving, maintaining, and providing the Platform.

5.3 Member Responsibility

Members are solely responsible for all Member Content and represent and warrant that:

  • they own or have all necessary rights to upload the content;
  • the content does not violate privacy rights, intellectual property rights, confidentiality obligations, or applicable laws;
  • they have obtained all necessary consents from third parties;
  • they are legally permitted to use the data for AI processing.

5.4 Prohibited Uploads

Members must not upload or use:

  • unlawful content;
  • defamatory content;
  • malicious code;
  • content infringing intellectual property rights;
  • confidential information without authorization;
  • personal information collected unlawfully;
  • sensitive regulated data without lawful basis;
  • content promoting violence, hate, or illegal activities.

The Company may remove prohibited content without notice.

6. Privacy and Data Protection

6.1 Voluntary Submission of Data

Members acknowledge that any information uploaded to the Platform is voluntarily submitted.

Members are solely responsible for determining what information they choose to upload or provide for chatbot configuration.

6.2 No Guarantee of Absolute Security

While the Company implements commercially reasonable safeguards, no platform, system, storage method, transmission method, or internet-based service can be guaranteed completely secure.

The Company does not warrant that the Platform will be immune from:

  • cyberattacks;
  • unauthorized access;
  • data breaches;
  • hacking;
  • service interruptions;
  • technical failures.

6.3 Data Processing

The Company may process Member Content and chatbot interactions for:

  • platform functionality;
  • AI processing;
  • hosting and storage;
  • analytics;
  • security monitoring;
  • abuse prevention;
  • legal compliance;
  • service improvement.

6.4 Third-Party Providers

The Platform may use third-party service providers, cloud hosting providers, AI model providers, analytics providers, payment processors, and infrastructure vendors.

Data submitted through the Platform may be processed by such third parties subject to their own terms and privacy policies.

The Company is not responsible for the acts, omissions, security practices, or policies of third-party providers.

6.5 Compliance Responsibility

Members are solely responsible for ensuring their use of the Platform complies with all applicable privacy and data protection laws, including where applicable:

  • the Personal Information Protection and Electronic Documents Act (PIPEDA);
  • provincial privacy legislation;
  • the General Data Protection Regulation (GDPR);
  • the California Consumer Privacy Act (CCPA);
  • consumer protection laws;
  • marketing and communications laws.

Members are responsible for obtaining all required notices, consents, and permissions from End Users.

7. End User Interactions

Members acknowledge and agree that:

  • End User conversations may include unpredictable AI-generated responses;
  • chatbot outputs may be inaccurate or inappropriate;
  • End Users may rely on chatbot responses at their own risk.

Members are solely responsible for:

  • their chatbot configurations;
  • chatbot instructions and prompts;
  • disclosures to End Users;
  • moderation decisions;
  • regulatory compliance relating to their chatbot activities.

The Company is not responsible for disputes between Members and End Users.

8. Acceptable Use

Users must not:

  • violate laws or regulations;
  • impersonate others;
  • distribute malware or harmful code;
  • interfere with Platform security;
  • attempt unauthorized access;
  • use the Platform to harass or abuse others;
  • generate unlawful or deceptive content;
  • reverse engineer the Platform except where prohibited by law;
  • use automated scraping tools without authorization.

The Company may investigate violations and cooperate with law enforcement authorities.

9. Intellectual Property

The Platform, including software, code, interfaces, trademarks, logos, designs, and proprietary technology, is owned by or licensed to the Company and protected under intellectual property laws.

Except as expressly permitted, users may not:

  • copy;
  • modify;
  • distribute;
  • sublicense;
  • commercially exploit;
  • reproduce Platform technology.

10. Third-Party AI Providers

The Platform may integrate with or rely upon third-party artificial intelligence systems and APIs.

The Company:

  • does not control third-party AI systems;
  • does not guarantee uninterrupted availability;
  • is not responsible for third-party outages or failures;
  • is not liable for outputs generated by third-party AI technologies.

Use of third-party AI systems may also be governed by separate third-party terms.

This site is protected by reCAPTCHA and the Google Privacy Policy and Terms of Service apply.

11. Service Availability

The Platform is provided on an “as is” and “as available” basis.

The Company does not guarantee:

  • uninterrupted service;
  • error-free operation;
  • continuous availability;
  • compatibility with all devices or systems;
  • permanent data retention.

The Company may:

  • modify features;
  • suspend services;
  • discontinue portions of the Platform;
  • perform maintenance;
  • restrict access;

at any time without liability.

12. Disclaimers of Warranties

To the fullest extent permitted by law, the Platform and all services are provided without warranties of any kind, whether express, implied, statutory, or collateral.

The Company disclaims all warranties including:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • accuracy;
  • reliability;
  • security;
  • availability.

The Company does not warrant that:

  • chatbot responses will be correct or safe;
  • outputs will satisfy legal or regulatory requirements;
  • services will be uninterrupted or secure.

Some jurisdictions may not permit certain warranty exclusions. In such jurisdictions, exclusions apply to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, the Company and its directors, officers, employees, affiliates, contractors, licensors, suppliers, and agents shall not be liable for:

  • indirect damages;
  • incidental damages;
  • special damages;
  • punitive damages;
  • consequential damages;
  • loss of profits;
  • loss of revenue;
  • business interruption;
  • loss of goodwill;
  • data loss;
  • reputational harm;
  • privacy breaches;
  • AI hallucinations or misinformation;
  • reliance on chatbot outputs.

The total aggregate liability of the Company for any claim arising out of or relating to the Platform shall not exceed the greater of:

  • the amount paid by the Member to the Company during the preceding three (3) months; or
  • CAD $100.

This limitation applies regardless of the legal theory asserted.

14. Indemnification

Members agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including legal fees, arising from or related to:

  • Member Content;
  • chatbot outputs;
  • End User interactions;
  • privacy violations;
  • intellectual property claims;
  • regulatory violations;
  • misuse of the Platform;
  • violation of these Terms.

The Company reserves the right to assume exclusive defense and control of any matter subject to indemnification.

15. Compliance With Laws

Users are solely responsible for ensuring their activities comply with all applicable laws, regulations, and industry standards.

The Company does not guarantee that use of the Platform satisfies any legal or regulatory obligations applicable to Members.

16. Takedown and Enforcement

The Company may remove content, suspend accounts, or restrict access where it reasonably believes:

  • laws may be violated;
  • third-party rights may be infringed;
  • security risks exist;
  • harmful conduct may occur;
  • regulatory exposure may arise.

The Company may cooperate with regulators, law enforcement agencies, courts, and governmental authorities.

17. Termination

The Company may suspend or terminate access immediately, with or without notice, for any reason including violation of these Terms.

Upon termination:

  • licenses granted to users terminate immediately;
  • access rights cease;
  • the Company may delete stored content subject to applicable law.

Sections intended to survive termination shall survive, including:

  • disclaimers;
  • indemnities;
  • limitations of liability;
  • governing law provisions.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

19. Arbitration (Optional)

At the Company's sole discretion, disputes may be resolved through binding arbitration in Ontario, Canada, except where prohibited by applicable law.

If arbitration is adopted, additional arbitration procedures should be reviewed by legal counsel before implementation.

20. Changes to Terms

The Company may modify these Terms at any time.

Updated Terms become effective upon posting unless otherwise stated.

Continued use of the Platform after changes constitutes acceptance of the revised Terms.

21. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms constitute the entire agreement between users and the Company relating to the Platform and supersede prior agreements or understandings.
